CC04 Statement of Company’s Objects
The Articles of Association is a document which sets out the provisions of a company’s constitution. Normally a company’s constitution can be changed by a special resolution. This means that at least 75% of the shareholders by value must vote in support of the changes.
Sometimes the person who incorporates a company will want to “entrench” specific provisions in the articles and make them difficult to change at a later date. This can be done by specifying some additional condition or procedure which must be observed before a change to these provisions can take effect.
Companies House will keep a record of any restrictions on the articles, and if those restrictions are removed, the officers of the company must notify Companies House by completing this form.
