DS01 Striking Off Application by a Company

When a company becomes defunct and is no longer operating, its directors can apply to Companies House for the company to be dissolved and for its name to be struck off the official register. An application can be made as long as:

·         The company has not traded for the past 3 months

·         The company has not changed its name within the past 3 months

·         There are no current or pending legal proceedings in which the Company is involved.

·         The company has not sold any of its assets within the past 3 months

A majority of company directors must agree to the dissolution and must complete and sign this form, before submitting it to Companies House. All interest parties must be sent a copy of this application within a week of it being submitted. This includes HM Revenue and Customs, creditors, employees, and shareholders.

There is an application fee for submitting this application (£10 at the time of writing) and the company will be struck off the register 3 months after the application is submitted if no objections are received by Companies House.
