NM05 Notice of Change of Name by Resolution of Directors

From time to time the Secretary of State may order a company to change its name to include some compulsory element, either because the law or the status of the company has changed. For example, a limited company’s name must end with the word “limited” (or “cyfyngedig” in Welsh) although a company can be exempt from this requirement if it meets certain conditions.

Where a company is ordered to change its name by the Secretary of State, it is not necessary for a special resolution to be passed. Instead, the directors of the company must hold a board meeting to pass a directors’ resolution changing the name.

Companies house should be notified of the change of name by sending a completed copy of this form, and attaching a copy of the directors’ resolution.
