TM01 Termination of Appointment of Director

The directors of a company are the people who are responsible for taking decisions about the direction of the company, and managing its day-to-day operations. They can enter into transactions and contracts on behalf of the company, and they may be held liable for any criminal course of action or offence which they cause the company to embark upon.

A director’s appointment may be terminated either because his service contract comes to an end, because he is removed for some wrongdoing, because he retires, or because he is replaced or is not re-elected by the company’s AGM.

Every company is responsible for ensuring that the records which Companies House holds are kept accurate and up to date by notifying Companies House whenever someone ceases to be a director of the company. This obligation can be fulfilled by completing and returning this form. Companies which are registered with Companies House’s web-filing service can submit this notification online.
