CC06 Change of Constitution by Order of Court or Other Authority

Sometimes a company’s constitution may be forcibly changed by a court or by some other regulatory body or government agency. For example, the Charity Commission may alter the constitution of any company which is registered as a charity, or a shareholder may obtain a court order declaring that the constitution is unlawful and requiring it to be changed.

Whenever a company’s constitution is changed in this manner, it is the responsibility of the company’s officers to notify Companies House of the changes by completing this form and sending it together with an amended copy of the Articles of Association.
