DS02 Withdrawal of Striking Off Application by a Company

In certain circumstances the directors of a company will agree that it should be dissolved and will make an application to Companies House for the company to be struck off the official register.

When Companies House receives an application for strike-off, this will be actioned after 3 months, provided that no objections are registered. Sometimes the directors may decide to withdraw the application for the company to be struck off. This may be the case, for example, where a company which has been unable to continue in business has been rescued by an injection of capital. Alternatively, the company may cease to be eligible for voluntary dissolution, for example where insolvency proceedings are commenced against the company or where the company trades or changes its name.

In order to withdraw the application for dissolution, this form should be completed and signed by a director, before being forwarded to Companies House.
